Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Adwix Media WhatsApp Business Platform at app.adwixmedia.com ("Platform"), operated by Adwix Media Prop. ("Adwix Media", "we", "us", or "our").

Please read these Terms carefully before using our Platform. By registering, subscribing, or using any part of our services, you agree to be bound by these Terms.

Important: Our Platform is built on Meta's WhatsApp Business API. By using our Platform, you are also bound by WhatsApp's Business Policy and Meta's Platform Terms. Violation of Meta's policies may result in your WhatsApp Business Account being suspended by Meta, independent of any action we take.

Acceptance of Terms

By creating an account, subscribing to a plan, or using any feature of our Platform, you confirm that:

  • You have read, understood, and agree to these Terms
  • You are at least 18 years of age
  • You have the legal authority to enter into this agreement on behalf of yourself or your business
  • You agree to comply with all applicable laws and regulations
  • You agree to Meta's WhatsApp Business Policy and Meta Platform Terms

If you do not agree to these Terms, you must not use our Platform.

Description of Service

Adwix Media provides a SaaS (Software as a Service) platform that enables businesses to:

  • Send and receive WhatsApp messages via Meta's official WhatsApp Cloud API
  • Manage customer conversations through a unified inbox
  • Create, manage, and send approved WhatsApp message templates
  • Run broadcast campaigns to opted-in contact lists
  • Store and manage customer contacts
  • View message delivery analytics and campaign reports
  • Set up automation workflows
  • Connect via webhooks and third-party integrations (e.g., Make.com)

Adwix Media is an official Meta Tech Provider. Our services are powered by Meta's WhatsApp Business Cloud API and are subject to Meta's availability, policies, and pricing changes.

We reserve the right to add, modify, or discontinue features at any time with reasonable notice where practicable.

Eligibility

To use our Platform, you must:

  • Be at least 18 years of age
  • Be a registered business entity or sole proprietor operating a legitimate business
  • Have a valid WhatsApp Business Account approved by Meta
  • Not be located in a country under trade sanctions or embargoes
  • Not have been previously banned from our Platform or Meta's platforms

We reserve the right to refuse service to anyone at our sole discretion.

Account Registration & Security

When you register on our Platform:

  • You must provide accurate, current, and complete information
  • You are responsible for maintaining the confidentiality of your login credentials
  • You are responsible for all activity that occurs under your account
  • You must notify us immediately at connect@adwixmedia.com if you suspect unauthorized access
  • One account per business โ€” creating multiple accounts to circumvent limits is prohibited

We reserve the right to suspend accounts with inaccurate information or suspicious activity without prior notice.

WhatsApp Business Account Connection

To use our messaging features, you must complete Meta's WhatsApp onboarding process and authorize Adwix Media to access your WhatsApp Business Account. By doing so, you grant us permission to:

  • Send and receive messages on your behalf
  • Submit and manage message templates
  • Access message delivery statuses
  • Receive webhook events from Meta for your account

You can revoke this access at any time through Meta Business Manager.

All prices are in Indian Rupees (INR) and exclude 18% GST unless otherwise stated. Total amount charged will include applicable GST.

Billing Cycle

  • Subscriptions are billed monthly on a recurring basis via Razorpay
  • Your subscription renews automatically on the same date each month
  • You will be charged at the start of each billing cycle
  • Failed payments may result in service suspension after a 3-day grace period

Meta API Conversation Charges

Important: In addition to our subscription fee, Meta charges businesses directly for WhatsApp API conversations based on their pricing model. These charges are separate from Adwix Media's subscription and are billed directly by Meta to your Meta Business account. Adwix Media is not responsible for Meta's API conversation charges.

Price Changes

We reserve the right to change subscription pricing. We will provide at least 30 days' notice via email before any price change takes effect. Continued use after the notice period constitutes acceptance of the new pricing.

Refund Policy

Due to the nature of SaaS services and the immediate provisioning of platform access:

  • No refunds are provided for monthly subscription fees once the billing cycle has started
  • If you cancel mid-cycle, you retain access until the end of the current billing period
  • Refunds may be considered at our sole discretion in cases of verified technical failure on our part that prevents you from using the service for more than 72 consecutive hours
  • Refunds are not provided for Meta API conversation charges โ€” those are governed by Meta's billing policies

To request a refund consideration, email connect@adwixmedia.com within 7 days of the charge with your payment ID and reason.

WhatsApp & Meta Platform Rules

As a condition of using our Platform, you agree to comply with all of Meta's policies at all times, including:

Opt-In Requirement

You are solely responsible for obtaining valid, explicit opt-in consent from all contacts before sending them WhatsApp messages through our platform. This means:

  • Contacts must have actively consented to receive WhatsApp messages from your business
  • You must clearly identify your business at the time of opt-in
  • You must maintain records of all opt-ins
  • You must honor opt-out requests immediately

Template Compliance

All message templates submitted through our platform must comply with WhatsApp's template guidelines. You are responsible for the content of your templates. Adwix Media is not liable for templates rejected by Meta or accounts suspended due to non-compliant template content.

Meta Account Suspension

If Meta suspends or restricts your WhatsApp Business Account due to policy violations, Adwix Media is not liable for any resulting service interruption. Your subscription fees remain due regardless of Meta's actions on your account.

Acceptable Use

You agree to use our Platform only for lawful business communication purposes. Acceptable uses include:

  • Sending transactional messages (order confirmations, shipping updates, appointment reminders)
  • Sending marketing messages to opted-in customers
  • Providing customer support via WhatsApp
  • Running broadcast campaigns to consenting contacts
  • Automating routine business communications

Prohibited Activities

The following are strictly prohibited on our Platform. Violation may result in immediate account termination without refund:

Zero tolerance violations (immediate termination): Sending spam, messaging without consent, promoting illegal goods/services, harassment, hate speech, adult content, or any activity that violates WhatsApp's policies.

You must NOT:

  • Send unsolicited messages (spam) to people who have not opted in
  • Purchase or use third-party contact lists not obtained with proper consent
  • Send messages promoting illegal products, services, or activities under Indian law
  • Send messages containing hate speech, harassment, or threatening content
  • Send adult, explicit, or pornographic content
  • Impersonate another business, brand, or individual
  • Use our platform to conduct phishing, fraud, or scams
  • Reverse engineer, decompile, or attempt to extract our source code
  • Attempt to access other users' data or accounts
  • Use automated scripts to abuse our API beyond normal usage
  • Resell or sublicense access to our platform without written permission
  • Create multiple accounts to circumvent plan limits or suspensions
  • Send messages related to cryptocurrency, gambling, or multi-level marketing schemes
  • Violate any applicable law or regulation

Intellectual Property

Our Platform

The Adwix Media platform, including its software, design, UI, logos, and content, is owned by Adwix Media Prop. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

Your Content

You retain ownership of all content you create on our platform, including your message templates, contact data, and campaign content. By using our platform, you grant us a limited license to store and process your content solely for the purpose of providing our services to you.

Feedback

Any feedback, suggestions, or ideas you provide to us may be used by Adwix Media without obligation to you.

Your Data

Your use of data on our platform is governed by our Privacy Policy, which is incorporated into these Terms by reference.

  • You are the data controller for your customers' data processed through our platform
  • Adwix Media acts as a data processor on your behalf
  • You are responsible for ensuring you have the legal right to process your customers' data
  • You are responsible for complying with applicable data protection laws (including India's DPDP Act 2023) with respect to your customers' data
  • Upon account termination, you may request export of your data within 30 days

Service Availability & SLA

We strive to maintain high availability of our Platform but do not guarantee uninterrupted service. The following applies:

  • We target 99% uptime for our platform infrastructure
  • Scheduled maintenance will be communicated in advance where possible
  • Service disruptions caused by Meta's WhatsApp API are outside our control and not covered by our SLA
  • Force majeure events (natural disasters, government actions, internet outages) are excluded from SLA

Termination

By You

You may cancel your subscription at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current billing cycle. No refunds are provided for the remaining period.

By Us

We reserve the right to suspend or terminate your account, with or without notice, if:

  • You violate these Terms or Meta's platform policies
  • Your account is used for spam, fraud, or illegal activity
  • Meta suspends your WhatsApp Business Account
  • Payment fails and is not resolved within the grace period
  • We reasonably believe continued access poses a risk to other users or our platform

Termination for violations will result in immediate access removal without refund.

Effect of Termination

Upon termination, your access to the platform ceases immediately. Your data will be retained for 30 days post-termination, after which it will be permanently deleted. You may request a data export during this window.

Disclaimers

Our Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law:

  • We make no warranties, express or implied, about the Platform's fitness for a particular purpose
  • We do not warrant that the Platform will be error-free, uninterrupted, or virus-free
  • We are not responsible for the actions of Meta, Razorpay, or other third-party services integrated with our platform
  • We do not guarantee message delivery โ€” delivery depends on Meta's infrastructure and the recipient's device/settings
  • Template approval decisions are made entirely by Meta โ€” we have no control over approval or rejection
  • We are not liable for any loss of business, revenue, or data arising from use of our platform

Limitation of Liability

To the maximum extent permitted by applicable law, Adwix Media's total liability to you for any claims arising from these Terms or use of our Platform shall not exceed the amount you paid us in the 3 months preceding the claim.

In no event shall Adwix Media be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages resulting from Meta's actions, API changes, or platform policy enforcement
  • Damages resulting from unauthorized access to your account due to your failure to maintain credential security
  • Any damages exceeding the amounts paid by you in the preceding 3 months

Indemnification

You agree to indemnify, defend, and hold harmless Adwix Media, its owners, employees, and agents from and against any claims, damages, losses, costs, and expenses (including legal fees) arising from:

  • Your use of the Platform in violation of these Terms
  • Your violation of Meta's WhatsApp Business Policy or any applicable law
  • Messages you send through our platform without proper opt-in consent
  • Any claim by your customers or third parties arising from your use of our services
  • Infringement of third-party intellectual property rights by your content

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Dispute Resolution

  1. Informal Resolution: Before filing any formal dispute, you agree to contact us at connect@adwixmedia.com and attempt to resolve the matter informally within 30 days.
  2. Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India). The seat of arbitration shall be Himachal Pradesh, India.
  3. Jurisdiction: For matters not subject to arbitration, you consent to the exclusive jurisdiction of courts in Himachal Pradesh, India.

Changes to Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or Meta's platform policies. When we make material changes:

  • We will update the "Last updated" date at the top of this page
  • We will notify you via email at least 14 days before changes take effect for material changes
  • Continued use of the Platform after the effective date constitutes acceptance of the updated Terms

If you do not agree to the updated Terms, you must stop using the Platform and cancel your subscription before the effective date.
